Question
You have been accepted to complete a mini pupillage at ‘Top City Law Firm’ in London and the firm has taken on a new client. Your supervisor has asked you to listen to the client and draft a memorandum to answer the client’s queries based on the following case scenario:
Matt owns a domestic company called ‘Eco-Home’ which designs and builds environmentally low-impact homes using materials and technology to both reduce the homes’ carbon footprint and lower their energy needs. The ‘Eco–Home’ company has been an outstanding success in the UK during the last two years and recently received the country’s, “best environmentally friendly and energy efficient home award” last month. Matt has conducted some international market research and noticed that the demand for home improvements has significantly increased in the EU and Dubai. He is now very interested to expand his business into the EU and Dubai.
The ‘Eco-Home’ company has never shipped goods/equipment abroad before and the company are seeking your advice on the following matters:
- How can Matt ensure that the company is not at risk of being sued in a foreign country (the EU or Dubai) if anything goes wrong with the goods?
- Matt is aware about Brexit but is asking what legal impact it has had on choice of law and jurisdiction in the UK. What changes has Brexit imposed on choice of law and jurisdiction in the UK and how might these changes potentially affect international commercial contracts between the UK and EU?
- Matt has some knowledge of FOB and CIF contracts. Considering Matt prefers to maintain control over his dealings, critically analyse which type of contract would be best suited to his needs and explain why.
- Matt recognises that with his decision to export goods internationally, he needs to consider wider commercial factors. He is interested in understanding the key considerations and how to develop commercial awareness.
Prepare a draft memorandum (maximum of 7 pages) for your supervisor to answer the above queries with reference to case law, legislation and other relevant sources.
