Assessment 2
You are a legal trainee at a Mayfair Law Firm and your managing supervisor has requested you to prepare a report for the firm’s client with the following enquiry:
XYZ Ltd. is a medium-sized company involved in the manufacturing of electronic components. The company has four directors who are also shareholders: Alice, Bob, Charlie, and David. Recently, the company has encountered several issues due to the actions of its directors.
- Alice, without consulting the board, entered into a contract with a supplier for raw materials at a significantly higher price than the market rate. She believed this supplier would provide better quality materials, but she did not seek approval from the other directors or follow the company’s procurement policy.
- Bob, while still serving as a director of XYZ Ltd., started a competing business that manufactures similar electronic components. He used XYZ Ltd.'s confidential information and client lists to gain an advantage for his new business.
- Charlie accepted a substantial gift from a potential client in exchange for ensuring that XYZ Ltd. would award a lucrative contract to the client’s company. This gift was not disclosed to the board, and the contract was awarded without a competitive bidding process.
- David, acting on his own, decided to invest a significant portion of the company’s funds in a high-risk venture without conducting proper due diligence or consulting with financial advisors. The venture failed, resulting in substantial financial losses for XYZ Ltd.
Prepare a report setting out your advice to the client including the consequences and implication of the respective director’s conduct and available remedies to the company (statutory, common law and contractual). Your supervisor requests you to include the source of references including related statutory provisions, case law and supporting materials.
Page limit – at least 7 pages (including footnotes but excluding bibliography).

In this assessment you are permitted to use genAI tools (or a proofreader or proofreading service) to proofread your work but not permitted to use AI tools in the creation of the content of your work.
Neither a proof-reader nor a proof-reading tool (whether genAI or not) can ever be used to make changes to your work directly; the proof-reader or proof-reading tool must only identify and draw attention to possible changes which you can then choose to accept or reject; this will ensure that you remain the author of your work.
For clarity, where a proofreader, proofreading service or genAI tool is used, they/it may only:
- identify spelling and typographical errors;
- identify poor grammar;
- highlight formatting errors or inconsistencies;
- identify errors in labelling of diagrams, charts or figures;
- identify areas for possible improvement;
- highlight a sentence or paragraph where the meaning is not clear; or
- draw attention to repeated phrases or omitted words.
Additionally, you are required to reference the genAI proofreading tool you have used: eg;
